Arts Promotion Trust (Northland) is a charitable trust, established May 2000.

Trust DeedWe are in the process of making some changes to our Trust Deed and we will post the amended deed here as soon as it is available.  Some relevant excerpts:

Objects: The objects and Charitable Purposes for which the Trust is established are:

a/ to promote, encourage, support, organise and develop all types of Artistic activity for the benefit of the people of Northland

b/ to foster and provide opportunities to the people, organisations and groups in Northland for the participation and enjoyment in the Arts

c/ to promote, develop, maintain, control or manage any facilities for the Arts

d/ to foster, promote, organise or conduct any meetings, conferences, artistic demonstrations, lectures, competitions, exhibitions or other social functions or gatherings and research projects for any Artistic activity

e/ to achieve the object in clause a/ by encouraging and facilitating public and private patronage and support

f/ to provide an organisations which will grow a resource base for such patronage and support

g/ to manage a distribution mechanism from which such patronage and support can be directed.



Amendment to TRUST DEED: 14/4/09
The trustees have unanimously resolved that clause 4.6 of the Trust Deed be amended to read:

"The term of appointment of any Trustee shall be four years or such shorter period as may be determined at the time of the Trustee's appointment. Upon termination of appointment at least one year shall elapse before a Trustee is eligible for reappointment as a Trustee."

No objections from members were received regarding this amendment and the amendment was passed. (Recorded in minutes of the meeting of the Arts Promotion Trust Board 14.4.09)

Notes:

The Trust Board has resolved to amend our Trust Deed to increase the Trustee term from three years to four years. The proposed amendment has arisen from difficulty in finding board members and the frustration arising from having to leave the board mid-project because of clause 4.6 of the Trust Deed.

Section 9 of the Trust deed deals with Revocation or Amendments and states:

"9.1    Amendment of Deed

The Terms of the Deed may be altered, added to, rescinded, or otherwise amended at any time by:

(a)    a resolution of the Trustees passed with at least two thirds majority PROVIDED THAT no such resolutions passed by the Trustees in accordance with this clause shall be acted upon until the Secretary has given notice to Members and 28 days has elapsed from the notice without receipt of a requisition for a general meeting or if a meeting is requisitioned then the amendment is supported by a majority present at the meeting entitled to vote.

4.6 of the Trust Deed currently reads:

"4.6 Term of Appointment

The term of appointment of any Trustee shall be three years or such shorter period as may be determined at the time of the Trustee's appointment. Upon termination of appointment at least one year shall elapse before a Trustee is eligible for reappointment as a Trustee."

Trustee appointment procedure:  One of the changes to our trust deed will include a change to the trustee appointment procedure.  We will post this information here as soon as it is available.  In the meantime, should you wish to register your interest in becoming a trustee please contact Mary Britton, mary@apt.org.nz 

 

Our funders and organisations to whom we contract who provide revenue streams:

Whangarei District Council: provide base level operational funding

ASB Community Trusts: provide funding to contribute to operational expenses

Northern Regional Council (through Enterprise Northland): provide a contribution to Arts Promotion Trust to deliver Arts in the Regional Frame - a strategic framework for the creative industries art sector in Northland - March 2006 (PDF 377KB)

Pub Charity: have provided funding towards production of STINGRAY, a regional arts magazine
